Thefollowing promotion is intended for participants in the United States only andshall be construed and evaluated according to the laws of the United States. Donot proceed in this promotion if you are not a legal resident of the UnitedStates. Further eligibility restrictions are contained in the official rules(“Official Rules”) below.

1. DESCRIPTION:

The “HearItFirst.com/ Enter to win Beats by Dr. Dre Solo HD from Capital Kings ("Sweepstakes")begins on or about January 8, 2013 and ends February 8, 2013  at 12:00 AM Central Time (“CT”)("Sweepstakes Period"). The Sweepstakes is sponsored, administeredand fulfilled by Hear It First, LLC, 1305 16^thAve South 2^nd Floor Nashville, TN 37212 (“Sponsor” or“HearItFirst”).

2. HOW TO ENTER:

To enter, visit http://www.hearitfirst.com/funandgames/default.aspx?contest_id=1056944 andsubmit entry form filling out all required information, including withoutlimitation, your first name, last name, zip code, gender, birth date, telephonenumber, and e-mail address, and submit your entry. Any form of entry other thanthose described herein is void. Only one entry per person is permitted per dayduring the Contest Entry Period.

3. ELIGIBILITY:

Sweepstakes is open to legal residents of the 50 UnitedStates and Washington, D.C. who are at least 13 years of age in their state ofprimary residence at time of entry (“Entrant”). Entrants must have Internetaccess or otherwise have an ability to access the Internet as of the startdate. Any individuals (including but not limited to employees, independentcontractors, consultants and interns) who have, within the last six (6) months,been employed by HearItFirst.com or performed services for Sponsor or anyorganizations affiliated with the administration, prize support, fulfillment,advertisement or promotion of the Sweepstakes (collectively, "SweepstakesEntities") are not eligible to enter or win. Household Members andImmediate Family Members of each such individual are also not eligible to enteror win. For purposes of the Sweepstakes, "Household Members" shallmean those people who share the same residence at least three months a year and"Immediate Family Members" shall mean parents, step-parents, legalguardians, children, step- children, siblings, step-siblings, or spouses. Voidwhere prohibited or restricted by law.

All prize details are at the sole discretion of the Sponsor.Prize winners cannot assign or transfer the prize to another person. Cashalternative is allowed at the sole discretion of Sponsor. If a prize cannot beawarded due to circumstances beyond the control of Sponsor, a substitute prizeof equal or greater retail value may be awarded. If a winner cannot accept aprize, or any portion thereof, as stated, the prize may be forfeited at thesole discretion of Sponsor. The value of the prize represents Sponsor’s goodfaith determination of the maximum retail value thereof. No refunds or creditfor changes are allowed. The ARV of any prize is subject to price fluctuationsin the consumer marketplace based on, among other things, any gap in timebetween the date the ARV is estimated for purposes of these Official Rules andthe date the prize is awarded or redeemed. All other expenses and costs, notexpressly listed above, including, but not limited to, taxes, tips,entertainment and transfers, are winner’s sole responsibility. Otherrestrictions may apply. Limit one (1) prize per household. If prize is awardedbut goes unclaimed or is forfeited by recipient, the prize may not bere-awarded, in Sweepstakes Entities’ sole discretion.

5. ODDS OF WINNING:

Odds of winning depend on the number of eligible entriesreceived.

6. WINNER SELECTION AND NOTIFICATION:

Winners will be selected via a random drawing conducted bythe Sponsor from all eligible entries received during the Sweepstakes Period.Prize winners will be notified by email or phone, at the sole discretion ofSponsor, within approximately forty five (45) days of the drawing date.Selected winners will be required to respond (as directed by the Sponsor) tothe notification. The failure to respond timely to the notification may resultin forfeiture of the prize and the Sponsor will randomly select an alternatewinner from among the remaining eligible entries for that prize. Winners may berequired to verify address and return within five (5) days (or a shorter timeif required by exigencies) an affidavit of eligibility, a liability release,and, unless prohibited by law, a publicity release (collectively, the “PrizeClaim Documents”) covering eligibility, liability, advertising, publicity andmedia appearance issues. Failure to return the Prize Claim Documents within thespecified time period may result in forfeiture of the prize and selection of analternate winner from the remaining eligible entries for that prize. Sponsor,in its sole discretion, will attempt to contact up to three (3) potentialwinners of a prize in accordance with the above procedure, after which theprize in question may go unawarded if it remains unclaimed. A prize will not beawarded until all such properly executed Prize Claim Documents are returned.

7. CONDITIONS OFPARTICIPATION/RELEASES:

Sweepstakes is void where prohibited or restricted by law.All federal, state and local laws and regulations apply. By participating, eachentrant agrees to be bound by these Official Sweepstakes Rules and thedecisions of the Sponsor and the Administrator, which shall be final in allrespects. By participating in this Sweepstakes and/or by accepting any prizethat they may win, each entrant agrees to release the Sweepstakes Entities;each of their respective parent, subsidiary and affiliated companies, units anddivisions; each of their respective officers, directors, agents,representatives and employees; and each of these companies and individuals'respective successors, representatives and assigns (collectively, the"Released Parties") from any and all actions, claims, injury, loss ordamage arising in any manner, directly or indirectly, from participation inthis Sweepstakes and/or acceptance or use of any prize. Each entrant authorizesthe Sweepstakes Entities to use his/her name, voice, likeness, biographicaldata, city and state of residence and entry materials in programming orpromotional material, worldwide in perpetuity, or on a winner's list, ifapplicable, without further compensation unless prohibited by law. SweepstakesEntities are not obligated to use any of the above-mentioned information ormaterials, but may do so and may edit such information or materials, atSweepstakes Entities’ sole discretion, without further obligation orcompensation, unless prohibited by law. The Released Parties shall not beliable for: (i) late, lost, delayed, stolen, misdirected, postage-due,incomplete, unreadable, inaccurate, garbled or unintelligible entries,communications or affidavits, regardless of the method of transmission; (ii)telephone system, telephone or computer hardware, software or other technicalor computer malfunctions, lost connections, disconnections, delays ortransmission errors; (iii) data corruption, theft, destruction, unauthorizedaccess to or alteration of entry or other materials; (iv) any injuries, lossesor damages of any kind caused by the prize or resulting from acceptance,possession or use of a prize, or from participation in the Sweepstakes; or (v)any printing, typographical, human administrative or technological errors inany materials associated with the Sweepstakes. Sweepstakes Entities disclaimany liability for damage to any computer system resulting from participatingin, or accessing or downloading information in connection with thisSweepstakes. Sponsor reserves the right, in its sole discretion, to cancel,modify or suspend the Sweepstakes (or any portion of the Sweepstakes) should avirus, bug, computer problem, unauthorized intervention or other cause orproblem corrupt or inhibit the administration, security or proper play of theSweepstakes and, in such situation, to select the winners from among all of theeligible non-suspect entries received prior to and/or after such action or insuch manner as deemed fair and appropriate by Sponsor. Sponsor may prohibit youfrom participating in the Sweepstakes or winning a prize if, in their solediscretion, they determine you are attempting to undermine the legitimateoperation of the Sweepstakes by cheating, hacking, deception, or any otherunfair playing practices of intending to annoy, abuse, threaten or harass anyother players or Sponsor’s representatives. This Sweepstakes will be governedby the internal laws of the State of Tennessee. Any and all legal actions orclaims arising in connection with this Sweepstakes must be brought in a courtof competent jurisdiction within the United States. By entering the Sweepstakes, you grantHearItFirst permission to share your email address and any other personallyidentifiable information with the other Sweepstakes Entities for the purpose ofadministration and prize fulfillment. HearItFirst will not sell, rent, transferor otherwise disclose your personal data to any third party other than theother Sponsor and as explicitly described herein.
